ORC Sets BO Filing Deadline for October 30, 2025

The Office of the Registrar of Companies (ORC) is reminding all businesses operating in Ghana to submit their Beneficial Ownership (BO) information by October 30, 2025, or face strict administrative penalties.
This directive applies to all companies incorporated before January 2020, the year Ghana began collecting BO data electronically. The initiative is part of a broader effort to enhance corporate transparency and combat illicit financial activities by disclosing the individuals who ultimately own or control corporate entities.
In a press release signed by Mrs. Maame Samma Peprah, Acting Registrar of Companies, the ORC confirmed that a three-month grace period is in effect from July 1 to October 30, 2025.
Companies that fail to comply by the deadline will be subject to a daily penalty of 25 penalty units—equivalent to approximately GHS 300—until the required information is submitted.
“The ORC is intensifying its efforts to ensure full compliance with Beneficial Ownership disclosure requirements by all existing companies,” the statement emphasized.
