Benjamin Zigorsh-Nyakpenu, a lawyer, has officially taken up his role as the First Deputy Registrar of Companies.
He was introduced to the Management team by the Acting Registrar of Companies, Maame Samma Peprah, during a meeting on Thursday, March 20, 2025. His appointment follows the provisions of Article 195 of the Constitution and Section 363(1) of the Companies Act, 2019 (Act 992).
During the meeting, Mrs. Peprah highlighted that Zigorsh-Nyakpenu’s appointment is intended to boost the office’s operational effectiveness and reinforce its dedication, citing his experience and leadership skills.
On behalf of the management, she welcomed the new Deputy Registrar and expressed confidence that his expertise would contribute to improving the operations of the Office of the Registrar of Companies (ORC).
In response, Mr. Zigorsh-Nyakpenu thanked everyone for the warm reception and assured management of his commitment to fostering an open-door policy, encouraging inclusive ideas, and facilitating knowledge-sharing to further the ORC’s goals.
He also emphasized the importance of teamwork, stating, “I promise to be part of the team. Let’s view ourselves as a collective unit ready to work, rather than as individuals who are simply needed.”
ROLE OF THE ORC
The Office of the Registrar of Companies (ORC) is the principal body responsible for the registration, regulation, and oversight of corporate entities within the country.
Its mission is to provide efficient corporate registry services that ensure the integrity of the business environment while supporting economic growth and development. The ORC was established by the Companies Act 2019 (Act 992), which empowers the Registrar and two Deputies to carry out the responsibilities outlined by this Act or other relevant laws.
According to Section 363(1) of the Companies Act, 2019 (Act 992), the President, in accordance with Article 195 of the Constitution, is tasked with appointing a Registrar, two Deputy Registrars, and any other staff necessary for the effective functioning of the ORC.
As the First Deputy Registrar, Mr. Zigorsh-Nyakpenu will collaborate closely with the Registrar to manage the daily operations of the office, ensure compliance with corporate regulations, and assist in implementing new strategies to enhance the ORC’s mission.

Benjamin Zigorsh-Nyakpenu is an experienced lawyer specializing in corporate and commercial law, compliance, and regulatory matters.
He has built a strong foundation in banking and financial law, oil and gas, alternative dispute resolution, probate, and real estate transactions. His expertise extends to legal consultancy, corporate structuring, and ensuring that businesses comply with statutory and regulatory requirements.
Zigorsh-Nyakpenu has worked at Thompson Law Consult, Hales Solicitors, and K-San Law. He has also served in the Legal Department of the National Investment Bank Ltd., focusing on corporate lending, structured finance, and public sector transactions.
With extensive knowledge in compliance and regulatory frameworks, he has consulted for multinational corporations and continues to provide strategic legal guidance to businesses.
Benjamin holds a Bachelor of Arts in Political Science (Hons) from the University of Ghana (2008), an LLB (2011), and was called to the Bar in 2013 after completing the professional law course at the Ghana School of Law. He also holds an LLM in Oil and Gas Law from the University of Ghana (2019).
